Acceptance of Terms
By accessing or using the Vasco Exim Overseas LLP website (vascoeximoverseas.com or any associated domain), submitting a contact form or quote request, or entering into any commercial transaction with us, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety.
These terms apply to all visitors, trade enquirers, and buyers โ whether individuals or corporate entities โ regardless of their country of residence or registration. If you do not agree to these terms, you must not use our website or engage with our services.

Our Services
Vasco Exim Overseas LLP provides international export trade services including but not limited to:
- Export of agricultural products including pulses, rice, spices, and wheat flour.
- Supply of packaging materials including PET preforms, closure caps, and labels from Sri Lanka.
- Engineering, industrial, and commercial kitchen equipment solutions.
- Hospitality consumables supply to hotels, restaurants, airlines, and catering businesses.
- Merchant trading services โ cross-trade sourcing from India and Asia for international buyers.
All services are subject to product availability, applicable export regulations, and individual trade agreements confirmed in writing between Vasco Exim Overseas LLP and the buyer.

Quotations & Orders
All quotations issued by Vasco Exim Overseas LLP are subject to the following conditions:
- Quotations are valid for the period specified in the quote document, typically 7โ14 days from the date of issue, subject to market price fluctuations.
- A quotation does not constitute a binding contract. A binding contract is formed only upon receipt of a formal Purchase Order from the buyer and written confirmation (Proforma Invoice or Sales Contract) issued by Vasco Exim Overseas LLP.
- Prices quoted are based on the incoterms, quantity, and specifications stated in the quote. Any changes to these parameters may result in price revision.
- All orders are subject to minimum order quantities (MOQ) as specified in the relevant product quotation or catalogue.
- Orders are accepted subject to satisfactory credit terms, trade references, and compliance with applicable export regulations.
Important: Submitting a quote request through our website does not constitute an order and creates no contractual obligation on either party. An order is only confirmed upon written Proforma Invoice acceptance and agreed payment terms.

Pricing & Payment
All prices are quoted in US Dollars (USD) unless otherwise agreed in writing. Prices are subject to change without notice prior to order confirmation.
- Payment Terms: Standard payment terms are 100% advance payment by Telegraphic Transfer (T/T) or an irrevocable Letter of Credit (LC) at sight, unless alternative terms are agreed in writing.
- Currency: Payments must be made in the currency specified in the Proforma Invoice. Any bank charges, transfer fees, or currency conversion costs are the buyer's responsibility.
- Late Payment: Late payments may result in suspension of shipment, cancellation of the order, or interest charges at the rate specified in the sales contract.
- Taxes & Duties: All import duties, taxes, customs clearance charges, and destination port handling fees are the buyer's sole responsibility and are not included in quoted prices unless explicitly stated.

Delivery & Shipping
Delivery is governed by the incoterms agreed in the confirmed sales contract. Standard incoterms used include FOB (Free on Board), CIF (Cost, Insurance and Freight), and CFR (Cost and Freight).
- Delivery Timelines: Estimated lead times are provided in good faith but are not guaranteed. Timelines may be affected by production schedules, port congestion, weather, customs, or other factors outside our control.
- Risk of Loss: Under FOB terms, risk passes to the buyer once goods are loaded on the vessel at the origin port. Under CIF/CFR, risk passes at the same point but insurance is arranged by us to the destination port.
- Partial Shipments: Unless expressly prohibited in the sales contract, we reserve the right to make partial shipments.
- Shipping Documents: All standard export documents (Bill of Lading, Commercial Invoice, Packing List, Certificate of Origin, COA, Phytosanitary Certificate as applicable) will be provided as agreed in the sales contract.

Quality & Inspection
All products are supplied in accordance with the specifications agreed in the confirmed sales contract or Proforma Invoice.
- Pre-shipment quality inspection may be arranged by the buyer at their cost at the origin point. Vasco Exim Overseas LLP will facilitate reasonable access for inspection purposes.
- A Certificate of Analysis (COA) from an accredited laboratory is provided for all food and agricultural products.
- Minor natural variations in colour, size, or weight within industry-accepted tolerances do not constitute non-conformity.
- Any quality claims must be submitted in writing with supporting evidence (photos, lab reports) within 14 days of the goods arriving at the destination port. Claims submitted after this period may not be considered.

Cancellation & Returns
Due to the nature of international trade and export logistics, cancellations and returns are subject to strict conditions:
- Order Cancellation: Orders may be cancelled by the buyer before production or shipment commences, subject to written notice. Cancellation charges may apply to cover costs already incurred.
- Post-Shipment Cancellation: Orders cannot be cancelled once goods have been loaded and the Bill of Lading has been issued.
- Returns: Returns of food and agricultural products are not accepted after delivery due to food safety, hygiene, and regulatory reasons, unless the goods are proven to be materially non-conforming to agreed specifications.
- Non-Conforming Goods: In the event of confirmed non-conformance supported by evidence, remedies may include replacement, credit note, or partial refund โ at the discretion of Vasco Exim Overseas LLP.

Limitation of Liability
To the fullest extent permitted by applicable law, Vasco Exim Overseas LLP's total liability to the buyer for any claim arising from a commercial transaction shall not exceed the total value of the specific shipment giving rise to the claim.
- We are not liable for any indirect, consequential, special, or incidental losses including loss of profit, loss of business, or loss of opportunity.
- We are not liable for delays or non-performance caused by circumstances beyond our reasonable control, including but not limited to port strikes, government actions, natural disasters, or shipping line delays.
- Website content is provided for informational purposes only. While we endeavour to ensure accuracy, we make no warranties regarding the completeness or accuracy of product information on our website.

This confidentiality obligation survives the termination of any commercial relationship between the parties.

Force Majeure
Vasco Exim Overseas LLP shall not be held liable for any failure or delay in performance of its obligations resulting from events beyond its reasonable control, including but not limited to:
- Acts of God, natural disasters, floods, earthquakes, or extreme weather events.
- Government actions, export bans, trade sanctions, or regulatory changes affecting the export of goods.
- Port closures, strikes, industrial action by shipping lines or port authorities.
- Pandemic, epidemic, or public health emergency declarations affecting logistics or production.
- War, civil unrest, terrorism, or other events constituting force majeure under Indian law.
In such events, we will notify the buyer promptly and make reasonable efforts to mitigate the impact. The affected party's obligations will be suspended for the duration of the force majeure event.

Governing Law & Jurisdiction
These Terms and Conditions, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with the laws of India.
Any disputes arising from commercial transactions shall first be attempted to be resolved through mutual negotiation in good faith. If unresolved, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India), with the seat of arbitration in India. The language of arbitration shall be English.
For website use disputes where no commercial transaction is involved, the courts of India shall have exclusive jurisdiction.
